2. Obligations of Content material

the Recipient agrees that, from the date of this agreement, the Recipient shall:

2.2 use the Training Information and material strictly for its Permitted Purpose;

2.3 the Recipient shall not, without the Disclosing Party’s prior written consent, distribute the training material to any person outside this establishment/company named above ;

2.4 ensure that its employees, agents, professional advisers and sub-contractors comply with the provisions of this clause and are bound by terms and conditions of use contained in this agreement;


3. Warranty

3.1. The Recipient understands and acknowledges that (other than may be separately agreed between the parties in writing) neither the Disclosing Party nor its directors, employees, or agents make any representations or warranties, express or implied, as to the accuracy or completeness of the Information, nor shall they have any liability to the Recipient or any other person resulting from the Recipient’s use of the Information.

4. Jurisdiction

4.1 This agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the law of England and Wales and the parties hereby submit to the exclusive jurisdiction of the English courts.

5. the Recipient agrees that, from the date of this agreement, the Recipient shall not:

5.1 under intellectual property rights (other than patent or trademark) Licensable by Initial Developer, to use, reproduce, modify, display, perform, sublicense and distribute the presentation (or portions thereof), with or without Modifications, and/or as part of a Larger Work;

5.2 under Patent Claims infringed by the making, using or selling of the training material, to make, sell outside the current place of practice, sell, and offer for sale, and/or otherwise dispose of the presentation (or portions thereof).

5.3 No patent license is granted: (1) for code that You delete from the Original material, or (2) for infringements caused by: (i) You may not remove or alter any copyright, patent or trademark notices contained within the training material, or any notices of licensing or any descriptive text giving attribution to any Contributor or the Initial Developer.
